In June 2018, Ajola Xoxa registers her company Partners Law, a law firm which will turn out to be very profitable. After 3 years of successful financial activity, Xoxa makes one of the procedural maneuvers, due to exposure in violation of the conflict of interest law.

In February 2021, Ajola Xoxa, deposited in the CKB a decision of hers, as the sole partner, that all the quotas of her company go to Mrs. Greta Domi. And according to the letter submitted to the KKB, Xoxa and Domi had signed this agreement by hand since January 2019. This action raises doubts since it was filed with the KKB 2 years after it was signed.

According to this agreement, Ajola Xoxa had to lose control over the shares and her right to make decisions.

Greta Domi will be the "on paper" owner of the company to prevent the conflict of interest of the Veliaj-Xoxa couple, but the benefits will go directly into the couple's pocket. According to the agreement, Greta Domi will receive ZERO lek for all this service. That's how the Veliaj-Xoxa couple thought they found the artifice to escape the financial investigation. They benefited in flagrant violation of the conflict of interest law.

According to the law and the statute of the company, administration is performed by an administrator appointed by decision of the sole partner for a period of 5 years.

According to the statute we quote:

Article 12- Administration

12.2 The legal representation of the company is entrusted to the Administrator. The administrator can exercise all the powers for ordinary and extraordinary administration of the Company in accordance with what is provided for in Article 95 of Law No. 9901 dated 14.04.2008 "On Merchants and Commercial Companies"

So, to put it more clearly, the Administrator is the one who makes the decisions for the day-to-day running of the company, approaching clients and signing contracts, precisely the moment when the conflict of interest starts.

Ajola Xoxa has been the administrator of this Society since its foundation until today.

Ajola Xoxa is the only one who has the right to manage the Partners Law Company's bank accounts.

According to the 2019 balance sheet data, this company invoices over 130,000 euros and has a profit of 60,000 euros. Ajola Xoxa, in addition to the profit, gives herself a gross salary in the amount of 1800 euros per month. Estimating her annual income from this company at 80,000 euros.

For the year 2020, the company invoices 13,800,000 allek and profit 6,900,000 allek, and why a pandemic year Ajola Xoxa's business does not know decline as its consultancies are very fruitful for the businessmen of Tirana.

For 2021, the company invoices 13,800,000 ALL and profit 7,800,000 ALL, Ajola Xoxa signs again.

In June 2023, Ajola Xoxa is reappointed Administrator for another 5 years.

For the year 2022, the company invoices again 13,900,000 ALL and a profit of 6,800,000 ALL.

For the year 2023, the company has not declared the billing, but the profit is 8,900,000 ALL.

It is clear that Ajola Xoxa is very careful in her billing not to exceed the level of 14,000,000 lek without paying a single cent of taxes for the huge profits generated by this business.

From this company, Ajola Xoxa has generated a profit of over 36,000,000 ALL or 360,000 euros, not including the huge monthly salary she gives herself.

Three other citizens are also employed in the company Partners Law:

Fjoralba Zeko with legal profession;

Xhoi Skenderasi Lawyer;

Adela Kondakçiu as an economist, this citizen is also employed by the company, ANK ARCHITECTURE (owned by Albana Koçollari, the sister of an important Director in the Municipality of Tirana, as well as the daughter of Irakli Koçollari, an expert used for the Law Reform.

By analyzing the data in the KKB for this company, we find that from 1996 to 2019 there are only 3 filings of acts related to privatization.

Surprisingly, just a few days before Arben Xoxa died from a serious illness, new documents are filed.

On January 11, 2019, the Administrative Council of the company meets with citizen members, Arben Xoxa, Erald Simixhiu (Ajola's uncle) and Valter Gjoni. The function of secretary is held by citizen Xhoi Skënderasi, employee of Ajola Xoxa. In this meeting, it is decided to re-appoint Arben Xoxa as administrator.

3 days before the meeting of the Administration Council, the Assembly of Shareholders was to be convened, with only the citizens Arben Xoxa (77.133%) and Genc Simixhiu (1.083%) and the citizen Xhoi Skënderasi present.

This assembly decides to approve the new Statute of the company and to appoint the Members of the Board of Directors.

According to the documentation, citizen Arben Xoxa takes the floor at this meeting, who declares that changes are being made to the charter in accordance with the "Commercial Companies" law and that the company's basic capital, which includes the Land + Building, will be valued at the market price in a second moment, therefore, for the effect of ACCELERATION, they will be at the value of 1996, 6,000,000 ALL.

So, to put it more clearly, from 1996, when the privatization took place, until February 2019, the company had NEVER filed documentation and since 2008, when the legal changes were made, it had not fulfilled these obligations.

This company has never filed balance sheets and it is not known if it has generated income over the years.

On March 18, 2019, after the death of citizen Arben Xoxa, the Council of Administration meets and appoints Ajola Xoxa as administrator.

The shareholders will now be Valbona Xoxa (38.57%) and Ajola Xoxa (38.56%).

In May 2019, Ajola Xoxe buys 1.45% shares of the citizen Spiro Kote, the purchase price 140,000 ALL.

In September 2020, Xoxa also buys 0.15% of the shares of the citizen Engjëll Liçaj in the amount of 1,000 euros.

On December 28, 2020, the assembly of the society is held, represented by Ajola Xoxa and Valbona Xoxa, with citizen Xhoi Skënderasi present as secretary.

Agenda:

1- Capital increase

2- Re-election of the members of the Administration Council

3- Revaluation of company properties

4- Approval of the Balance Sheet for 2019

5- Approving the expert's report on property valuation

During her speech, Valbona Xoxa clarified that the company has some properties that have not been revalued since 1996 and now the law for the revaluation of properties with a tax of 5% and not 15% is in force. The chairwoman recalls that no capital increase has been made since 1996, as a result of the revaluation of properties, a process that requires the investment of a large sum of money, requires an increase of capital by 16,000,000 ALL.

The assembly decides to approve the capital increase and give 20 days time to the shareholders to pay the value of the money to keep the same % of the shares, then the right passes to the other shareholders.

In the same meeting, the Chairperson proposes the names of Greta Domi, Erald Simixhiu and Xhoi Skënderasi as members of the Governing Council.

As in Partner Law, in this company as well, Ajola Xoxe uses the same scheme, passing the shares to her trustee Greta Domi, as an action to avoid the conflict of interest with her mayor husband.

Here the doubts are even greater since the submitted documents are the Decision of the Assembly of June 2019 and the Act of Agreement between Xoxa and Dom of April 2019.

All these were filed in March 2021 and why in the previous Decisions participating in the meetings of the Shareholders was not Greta Domi but Ajola Xoxa herself.

Ajola Xoxa has continuously held the position of Administrator in this company.

In June 2021, the Shareholders' Assembly is convened with the participants Ajola Xoxa and Valbona Xoxa, in the document at no time it is mentioned that Ms. Xoxa is represented by Greta Domi but she was present and why is it not allowed according to the Agreement Act signed by her.

Ajola Xoxa declares in November 2021 that the only shareholder presented to buy shares was Valbona Xoxa who bought 6,171 new shares worth about 6,000,000 ALL and now the new capital of the company will be 12,000,000 ALL.

From this increase in capital, the revaluation of the shares is done and now Valbona and Ajola Xoxa will own 89.51% of the shares from the 78.7% they owned from inheritance and purchase./ Syri.net
